1. Acceptance of Terms
By accessing or using Retentionr (the "Service"), operated by AGROMAR PROD SRL ("we", "us", or "our"), you confirm that you have read, understood, and agree to be bound by these Terms of Service and our Privacy Policy. If you do not agree, do not use the Service. We reserve the right to modify these Terms at any time. When we make material changes, we will notify you by email or through the Service. Continued use of the Service after any such change constitutes your acceptance of the updated Terms.
2. Description of Service
Retentionr is a performance analytics and content optimization platform for video creators. The Service includes script analysis, video analysis, thumbnail analysis, Channel DNA profiling, hook generation, competitor intelligence, storyboard creation, and related AI-powered tools. Features and usage limits vary by subscription plan. AI-generated insights, scores, and recommendations are advisory in nature and do not constitute professional advice of any kind. We do not guarantee specific outcomes, view counts, or revenue results.
3. Eligibility
You must be at least 16 years of age to use the Service. By registering, you represent that you meet this requirement. If you are using the Service on behalf of a business or legal entity, you represent that you have authority to bind that entity to these Terms. Users under 16 are not permitted to register, and we will delete accounts found to be held by users under 16 upon discovery.
4. Account Registration & Security
You must register for an account to access most features. You agree to provide accurate, current, and complete information and to update it as necessary. You are responsible for maintaining the security of your account credentials and for all activity that occurs under your account. We implement two-factor authentication (2FA) for all email/password accounts to enhance security. You agree to notify us immediately at support@retentionr.com if you suspect any unauthorized use of your account. We are not liable for losses resulting from unauthorized access caused by your failure to safeguard your credentials.
5. Subscriptions & Billing
Retentionr offers free (Hobby) and paid subscription plans billed monthly or annually. Paid plans are processed through Stripe. By subscribing, you authorize AGROMAR PROD SRL to charge the payment method on file at the applicable rate on a recurring basis. Subscriptions renew automatically at the end of each billing period unless cancelled before renewal. You may cancel at any time through your account settings; cancellation takes effect at the end of the current paid period and you retain access until then. All prices are displayed exclusive of VAT where applicable. VAT will be added at the applicable rate for your country.
6. Right of Withdrawal & Refund Policy
If you are an EU consumer, you have the right to withdraw from a paid subscription within 14 days of purchase without giving any reason (the "cooling-off period"). However, by subscribing and immediately accessing paid features, you expressly request that we begin performing the Service before the end of the cooling-off period. You acknowledge that once the Service has been fully performed, you lose the right of withdrawal. For partial use during the cooling-off period, you are liable for a proportional amount corresponding to the Service provided up to the point of withdrawal. 7. Free Trials & Promotions
We may offer free trials or promotional plans at our discretion. At the end of any trial period, your account will automatically convert to the selected paid plan unless you cancel before the trial ends. We reserve the right to modify, cancel, or limit trial offers at any time. Promotional discounts and referral rewards are subject to additional terms communicated at the time of the offer and may be revoked in cases of abuse.
8. YouTube Data & Google API Services
By connecting your YouTube account, you authorize Retentionr to access your channel data, video metadata, analytics, and related information via the YouTube Data API and YouTube Analytics API. Our use of this data complies with the Google API Services User Data Policy (available at https://developers.google.com/terms/api-services-user-data-policy). We access only the minimum data necessary to provide the Service. We do not upload, modify, delete, or publish content on your behalf. You may revoke Retentionr's access to your Google account at any time via https://myaccount.google.com/permissions. Revoking access will limit functionality that depends on YouTube data.
9. Acceptable Use
You agree not to: (a) reverse-engineer, decompile, disassemble, copy, or redistribute any part of the Service or its underlying technology; (b) use the Service to violate any applicable law, regulation, or third-party rights; (c) attempt to gain unauthorized access to our systems, servers, or databases; (d) use automated bots, crawlers, or scrapers to extract data from the Service beyond normal use; (e) resell, sublicense, or otherwise commercialize access to the Service without written permission; (f) upload malicious code, viruses, or any content designed to interfere with the Service; (g) circumvent, disable, or otherwise interfere with security or quota features of the Service; (h) use the Service to generate, analyze, or promote content that is illegal, hateful, defamatory, or otherwise harmful. We reserve the right to suspend or terminate accounts that violate this policy.
10. Intellectual Property
All software, design, code, branding, trademarks, and proprietary content of Retentionr are owned by AGROMAR PROD SRL and are protected under applicable intellectual property laws. Nothing in these Terms grants you any ownership rights in the Service. Your content — including scripts, videos, and channel data you submit — remains yours. By submitting content for analysis, you grant us a limited, non-exclusive, royalty-free license to process that content solely to provide and improve the Service. We do not claim ownership over your content and will not use it for any purpose beyond the scope of the Service.
11. AI-Generated Content
The Service uses artificial intelligence (including models from OpenAI and Anthropic) to generate analyses, scores, predictions, and recommendations. You acknowledge that: (a) AI outputs are probabilistic and may be inaccurate, incomplete, or inconsistent; (b) AI outputs do not constitute professional, legal, financial, or editorial advice; (c) predictions such as estimated view counts are illustrative and not guaranteed; (d) you use AI-generated content at your own discretion and risk; (e) we are not liable for decisions made based on AI outputs. We continually work to improve the accuracy of our models but make no warranties regarding AI output quality.
12. Disclaimer of Warranties
The Service is provided "as is" and "as available" without warranty of any kind. To the maximum extent permitted by applicable law, AGROMAR PROD SRL expressly disclaims all warranties, whether express, implied, statutory, or otherwise, including but not limited to warranties of merchantability, fitness for a particular purpose, title, and non-infringement. We do not warrant that the Service will be uninterrupted, error-free, secure, or free of viruses. We do not warrant that any specific outcome, result, or improvement will be achieved by using the Service. This disclaimer does not affect your statutory rights as a consumer under applicable EU or Romanian law.
13. Limitation of Liability
To the maximum extent permitted by applicable law, AGROMAR PROD SRL and its officers, directors, employees, and affiliates shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of revenue, profits, data, goodwill, or channel performance, arising out of or related to your use of or inability to use the Service. Our total aggregate liability to you for any claims arising under or related to these Terms shall not exceed the total amount you paid to us in the 12 months immediately preceding the event giving rise to the claim, or €100 (one hundred euros), whichever is greater. Nothing in this section limits liability for death or personal injury caused by our negligence, fraud, or any liability that cannot be excluded under Romanian or EU consumer law.
14. Indemnification
You agree to defend, indemnify, and hold harmless AGROMAR PROD SRL and its affiliates, officers, employees, and agents from and against any claims, damages, losses, liabilities, costs, and expenses (including reasonable legal fees) arising from: (a) your use of the Service in violation of these Terms; (b) your violation of any applicable law or third-party rights; (c) content you submit or transmit through the Service; or (d) any disputes between you and third parties related to your use of the Service.
15. Force Majeure
AGROMAR PROD SRL shall not be liable for any delay or failure to perform its obligations under these Terms where such delay or failure results from circumstances beyond our reasonable control, including but not limited to acts of God, natural disasters, war, terrorism, pandemics, government actions, internet outages, or failures of third-party infrastructure providers (including cloud hosting, payment processors, or API providers). We will make reasonable efforts to resume performance as soon as practicable.
16. Termination
We may suspend or terminate your account and access to the Service at any time with or without notice for material violations of these Terms, fraudulent activity, extended non-payment, or if we reasonably believe your use poses a risk to the Service or other users. Upon termination, your right to access the Service ceases immediately. You may delete your account at any time through Account Settings. Post-termination, we will process your data in accordance with our Privacy Policy. Termination does not entitle you to a refund except as provided in Section 6.
17. Dispute Resolution
Before initiating formal proceedings, we encourage you to contact us at support@retentionr.com to resolve any dispute informally. If a dispute cannot be resolved informally within 30 days, it shall be submitted to the competent courts of Romania. If you are an EU consumer, you may also bring proceedings in the courts of your country of habitual residence. You may also use the EU Online Dispute Resolution platform at https://ec.europa.eu/consumers/odr/ to resolve disputes out of court. We are registered to participate in ADR proceedings as required under applicable Romanian law.
18. Governing Law
These Terms of Service are governed by and construed in accordance with the laws of Romania, without regard to its conflict of law provisions. If you are an EU consumer, you additionally benefit from any mandatory protections provided by the consumer protection laws of your country of residence, which these Terms do not override.
19. General Provisions
Severability: If any provision of these Terms is found to be invalid or unenforceable, the remaining provisions will remain in full force and effect. Waiver: Our failure to enforce any provision of these Terms does not constitute a waiver of our right to enforce it in the future. Entire Agreement: These Terms, together with the Privacy Policy, constitute the entire agreement between you and AGROMAR PROD SRL regarding the Service and supersede all prior agreements. Assignment: You may not assign or transfer your rights under these Terms without our prior written consent. We may assign our rights and obligations without restriction. Headings are for convenience only and have no legal effect.
